Revised Agreement for Hensley Holdings, LLC

This Agreement (the “Agreement”) is entered into between Hensley Holdings, LLC (referred to as “we,” “us,” or “our”) and you or the entity you represent (referred to as “you” or “your”) regarding the provision of services related to tax deed properties and the renting/selling of property. This Agreement sets forth the terms and conditions that govern your use of our services.

  1. Use of Services

1.1 Services. You may access and use our services for the purpose of identifying tax deed properties, purchasing and reselling properties, and renting out properties, in accordance with this Agreement.

1.2 Compliance. You agree to comply with the terms of this Agreement and all applicable laws and regulations related to your use of our services.

  1. Property Identification and Acquisition

2.1 Tax Deed Properties. We provide information and assistance in identifying tax deed properties available for purchase. You acknowledge that the acquisition of tax deed properties is subject to the laws and regulations of the relevant jurisdiction, and you are solely responsible for complying with such laws and regulations.

2.2 Property Purchase and Resale. You may purchase tax deed properties through our services for the purpose of reselling them. You agree to conduct any necessary due diligence and comply with all legal requirements related to the purchase and resale of properties.

  1. Property Rental

3.1 Rental Services. We offer rental services for properties owned by Hensley Holdings, LLC. You may enter into rental agreements with us for the purpose of renting out properties to tenants.

3.2 Tenant Screening. You are responsible for screening potential tenants, including conducting background checks, verifying references, and assessing their eligibility to rent the property. We are not liable for any issues that may arise from tenant selection or rental agreements.

  1. Ownership and Responsibilities

4.1 Property Ownership. You acknowledge that properties purchased through our services remain the property of Hensley Holdings, LLC until the completion of the purchase and transfer of ownership.

4.2 Maintenance and Management. As the property owner, you are responsible for the maintenance, repairs, and management of the properties you purchase and rent out. You agree to ensure that the properties comply with all applicable laws, regulations, and safety standards.

  1. Fees and Payment

5.1 Service Fees. We will charge you fees for the services provided, including property identification, acquisition, and rental services. The applicable fees and payment terms will be communicated to you separately.

5.2 Taxes. You are responsible for identifying and paying all taxes and governmental fees associated with the transactions and payments made under this Agreement, as required by applicable law.

  1. Termination

6.1 Termination for Convenience. Either party may terminate this Agreement for any reason by providing written notice to the other party.

6.2 Effect of Termination. Upon termination of this Agreement, you shall settle any outstanding payments and obligations. Any provisions that, by their nature, should survive termination will remain in effect.

  1. Limitation of Liability

To the extent permitted by law, Hensley Holdings, LLC and its affiliates shall not be liable for any indirect, incidental, consequential, or exemplary damages arising out of or related to this Agreement, including but not limited to loss of profits, revenues, customers, opportunities, goodwill, use, or data.

  1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of Arkansas, without regard to its conflict of laws principles.

  1. Entire Agreement

This Agreement constitutes the entire agreement between Hensley Holdings, LLC and you concerning the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or representations,
